• The Annual General Meeting and the Special Meeting may be convened in accordance with this constitution provided that not more than 15 months shall elapse between Annual meetings.
  • The National Council shall organize a Special Meeting when necessary or within 60 days of a request notified to the General Secretary, signed by not less than 50 Voting Members and stating the purpose of the proposed meeting.
  • At the Annual General Meeting and Special Meeting as the case may be, the National President shall produce to the meeting a report, of the proceedings of the Institute, recommendation of the National Council, financial report duly audited and signed by a National Council appointed external Auditor.
  • The Annual General Meeting shall be held not later than November of each year succeeding the year under review and the special meeting of the Institute shall be at such times and places as shall from time to time be prescribed by the National Council.
  • The quorum of an Annual General Meeting and special meeting shall consist of 50% plus one voting members.
  • The quorum of the National Council meeting shall comprise of four (4) National Council members and the National President, and in his absence, any of the Vice Presidents.
  • Annual and Special General Meetings shall be conducted in accordance with the FIEH Guide to Meeting Procedures.
  • The National President of the Institute shall be entitled to preside and act as Chairman at every meeting and in his absence any of the Vice Presidents.
  • The National Council shall meet as often as possible and at least once in every three (3) months.
  • Not less than fourteen (14) days notice of every Annual General Meeting and in case of a special meeting, twenty one (21) days’ notice shall be given.
  • The Council shall organize a Special Meeting when necessary or within 7 days of a request notified to the President signed by not less than two thirds [2/3]of Voting Members and stating the purpose of the proposed meeting.
  •  Any Voting member, the National Council, its committees, or any subsidiary divisions that wishes to bring before an Annual Meeting any motion may do so provided the following has been complied with:
    a. The President has received notice of the proposed motion no later than 14 days before the date of the annual meeting.
    b. Where a motion is being proposed by a Voting member it shall be supported by not less than five Voting Members.
    c. In the opinion of the Council, the motion proposed relates to the object of the FIEH or entry standards.
  • Notice of a National Council meeting shall be similar to that of the special meeting.
  • The general nature of the business to be transacted thereat shall be given to each member and specified therein.
  •  Any member could move a vote of no confidence against any National Council member in an Annual General Meeting or a special General Meeting. The vote of no confidence shall be passed by at least two third (2/3) of voting members of the Institute.
  • If a quorum is not present, or ceases to be present whilst the meeting is taking place, that meeting shall automatically stand adjourned. A new date for the meeting will be set within 14-28 days of the adjourned meeting.
  • Out of pocket expenses by voting member of the institute related to meals and traveling to an Annual of Special General Meeting shall be reimbursed immediately upon the completion of the said meeting.
